Boehringer Ingelheim is currently seeking a Director, Transactions & Contract Management to join our Business Development & Licensing (BD&L) department.
BI's BD&L organization is comprised of three groups: Strategic Partnering (SP), Transactions & Contract Management (T&CM), and Alliance Management (AM), which all work closely to ensure flawless execution on accessing external innovation. In this regard, close collaboration, seamless transitions and handovers within the BD&L organization from SP to T&CM to AM are key to success.
As part of the Global T&CM Team, the Director, Transactions & Contract Management is accountable for optimal deal negotiation and execution outcome within the BI framework. The successful candidate will align team views and propose solutions outside the BI framework to decision bodies, under the supervision of the Head of Global T&CM.
The Director, Transactions & Contract Management leads cross-functional team negotiations and execution of licensing/collaborations deals, from release of the first internal Term Sheet draft through to contract signature, and ensures contract compliance throughout the process in alignment with the negotiation team. In this role, a key objective is to negotiate highly competitive contractual and financial agreement terms that are attractive for Boehringer Ingelheim.
After deal signature, the Director, Transactions & Contract Management is accountable for the seamless transfer of partnership aspects to AM (who are accountable for post-signature partnership management). The T&CM colleague retains accountability for terms and conditions of signed contracts such as release of milestones payments and agreement commitments (eg exclusivity) across the value chain (OneHP) and is also responsible for implementation of contract amendments.

Duties & Responsibilities:
Accountable for leading the negotiation and the negotiation team (incl. defining the negotiation strategy), executing the deal process with agility (including requesting approval from decision bodies after endorsement of the proposal and to release of the first Term Sheet draft), and is accountable for obtaining the best competitive agreement terms for BI by contract signature, or to propose termination/stop at each decision point.
Accountable to safeguard the highest quality of the contractual document and compliance of contractual matters.
Accountable for the seamless onboarding of and transfer of all contractual and operational aspects of a partnership to Alliance Managers before contract signature.
Responsible to contribute to the improvement of the deal execution process and optimization of cross-functional team interactions, together with the HoTM and other BD&L team members.
Post-contract signature, the Director, Transactions & Contract Management is accountable for managing all contract documentation (including the implementation of contract amendments).
Advanced degree (MBA, JD, PhD or MD, or MS) from an accredited institution preferably with acquired business development and transactions experience.
Minimum of fifteen (15) years of experience in the pharmaceutical industry, preferably with ten (10) years of experience in BD&L, Alliance Management, Transactions, or M&A with a successful track record.
Ability to lead negotiation of financial terms and conditions of term sheet proposals, contracts and amendments to contracts. Requires the ability to lead and participate in interdisciplinary negotiation teams on both local and international levels. Excellent project management capabilities and leadership skills in an international environment and Matrix organization. Proven ability to prioritize and handle large number of responsibilities without compromising delivery quality or timelines.
Demonstrated successful track record in deal-making (including high financial deals with multi-million EUR values) in an international environment (across various geographies - including US, EU and Asia and with a wide variety of deal types and partners).
Previous experience leading cross-functional teams, implementation of strategic plans, prioritization of tasks and budget management.
Strong knowledge of the pharmaceutical industry, processes and requirements including strong acumen in deal making. Expertise in various contractual concepts across the value chain, and ability to translate operational activities into legal language. Requires high degree of familiarity and understanding of financial, patents and legal concepts in contracts as well as understanding their implications in the context of a partnership.
Outstanding negotiation skills that influence negotiation outcomes in favor of BI, with problem solving and out-of-the-box thinking that creates win-win situations.
High level of interpersonal and collaborative skills, with the ability to inform and influence peers and superiors, strong project management and presentation skills, and the ability to manage cross-functional projects.
Ability to moderate between different stakeholders with different needs, to lead interdisciplinary and international teams, and moderate between different stakeholders with different needs to drive the partnership to success.
Authentic style with excellent written and verbal communication (in English), in particular with an ability to deliver high quality summaries and presentations, both internally and to the partner. Can communicate concepts and results in a structured manner both internally and externally, translating collaboration proposals into viable business models and contractual frameworks.
Provides leadership in the planning, designing, and implementation of strategic transactions with high degree of complexity and unprecedented deal structures, comfortable in uncharted territory.
Ability to travel globally.
