Duties & Responsibilities
The Senior Procurement Counsel - IT will:
Provide strategic legal counsel to the North America Procurement function, including the Global Services, Supplier Contracting Services (SCS) organization, on IT sourcing and contracting activities, including the development, risk assessment and execution of IT sourcing strategies and effective, efficient and innovative contracting, related to technology products, services and solutions procured by Johnson & Johnson businesses.
Lead complex IT supplier negotiations by partnering with, and providing legal counsel to, SCS Contract Champions and Johnson & Johnson Procurement (IT Sourcing/Category) teams, to support high value transactions (up to and including multi-million-dollar agreements).
Provide legal support for technology agreements and issues that are escalated by SCS Contract Champions and Procurement teams, and collaborate with other attorneys, business partners and subject matter experts, as appropriate, to ensure compliance with applicable Johnson & Johnson policies and procedures.
Work closely with the Johnson & Johnson Technology (JJT) organization and other business partners to understand their needs and advise on legal and contracting issues, ensuring that Johnson & Johnson agreements meet business needs and that risks have been identified and mitigated.
Collaborate with SCS management and Procurement teams to improve the contracting process, which may include developing and delivering legal and contracting training, harmonizing and rationalizing templates, building and refining playbooks, identifying and adopting best practices and supporting process improvement initiatives in a continued effort to streamline contract and sourcing related processes to improve timeliness, accuracy and quality in support of an increasing client base (including working with third party service providers who provide contracting services).
Lead and provide project management support on IT Procurement strategic initiatives.
Partner, collaborate with, and provide counsel to, other members of the Law Department, the broader Procurement community, Finance, Healthcare Compliance, Privacy, Quality, and other internal business partners, including senior management, as appropriate, in connection with Procurement and contract-related activities.
Effectively provide, and coordinate, legal support in the above areas, requiring independent initiative, contributing as a member of cross-functional teams, and collaborating with business and Law Department colleagues on key matters.
A Juris Doctor Degree with admission to (and current good standing with) the bar of at least one state or the District of Columbia is required.
A minimum of 5 - 8 years' experience relevant to the responsibilities set forth above either in-house or at a major market law firm is required.
Strong technology transactional skills, including experience in drafting and negotiating complex terms and conditions (eg, software-as-a-service (SaaS), cloud services, data subscriptions, software and technology licensing, software and application development, technology consulting services, hardware and equipment purchases, hosting services, maintenance and support services, software, SaaS, hardware and other technology evaluations, eCommerce, telecom services, outsourcing arrangements and emerging technologies, and other general agreements within the IT Procurement function), strong attention to detail, and the ability to review contracts for conformity to policies and identify and assess risk, is required.
Strong team working skills, including relationship management, interpersonal, communication (both written and spoken), and negotiation and organizational skills is required.
Consultative style, with proven ability to think strategically, develop creative and compliant solutions and apply strong analytical skills is required.
Strong communicator with the ability to make the complex simple and a highly effective collaborator in a team-based, fast-paced, Matrix environment, working internationally in virtual teams is required.
Significant transactional experience at a law firm is preferred.
Strong ability to design, develop and lead strategic and process improvement initiatives is preferred.
The position is located in New Brunswick, New Jersey and may require up to approximately 5% travel.
